1Agreement to Terms
By accessing or using PROCODE (available at procode.gg), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, do not use PROCODE.
These Terms form a binding legal agreement between you and PROCODE. "PROCODE," "we," "us," and "our" refers to the company incorporated in Delaware, United States, operating procode.gg.
2Eligibility
You must be at least 13 years of age to use PROCODE. If you are under 18, you represent that a parent or legal guardian is aware of and consents to your use of the platform. PROCODE reserves the right to verify user eligibility at any time.
3Accounts
- You must provide accurate, current, and complete information when creating an account.
- Providing false or misleading information at signup or at any time may result in immediate suspension or termination of your account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You must notify PROCODE immediately at support@procode.gg if you become aware of any unauthorized access to your account.
- PROCODE reserves the right to suspend or terminate accounts that violate these Terms.
4Acceptable Use
When using PROCODE, you agree not to:
- Sell, transfer, or share your account credentials or platform access with any third party.
- Impersonate PROCODE staff, coaches, other users, or any person or entity, or misrepresent your identity or affiliation.
- Use the platform in any way that violates applicable laws or regulations.
- Harass, abuse, threaten, or discriminate against other users, coaches, or PROCODE staff.
- Attempt to gain unauthorized access to any part of the platform or another user's account.
- Submit false, misleading, or fraudulent information.
- Engage in any activity that disrupts or interferes with the platform's operation.
- Use automated tools, bots, or scripts to access PROCODE without our written permission.
- Reproduce, distribute, or commercially exploit PROCODE content without explicit written consent.
- Engage in match-fixing, cheating, or unsportsmanlike conduct in tournaments.
- Exploit bugs, glitches, or vulnerabilities rather than reporting them to PROCODE.
Violation of these rules may result in immediate account suspension or termination.
5ProToken
ProToken is PROCODE's platform points system. The following terms govern protoken for individual users:
- ProToken is earned exclusively through platform activity. Individual users cannot purchase protoken directly with cash or any other currency.
- ProToken has no monetary value and cannot be exchanged for cash or transferred to another user account.
- ProToken can only be redeemed for services, content, and benefits within the PROCODE platform.
- PROCODE reserves the right to modify protoken earning rates, redemption rates, and available rewards at any time with reasonable notice.
- ProToken balances are forfeited upon account termination.
- ProToken balances expire if an account has no login, earning, or spending activity for 12 consecutive months.

ProToken arrangements for B2B clients and partners are governed by separate commercial agreements and are not covered by these Terms.
6Payments
- All prices on PROCODE are displayed in US dollars (USD) unless otherwise specified. Users paying in other currencies may be subject to exchange rates applied by their payment provider.
- Certain features and services on PROCODE require payment, including subscription plans and individual session bookings.
- All prices are as displayed on the platform and are inclusive of applicable taxes unless stated otherwise.
- Payments are processed by third-party payment processors. PROCODE does not store full payment card details.
- Refunds: Digital coaching sessions and content purchases are generally non-refundable once delivered or consumed. If you believe you have been charged in error, contact billing@procode.gg within 14 days.
- PROCODE reserves the right to change pricing at any time. Price changes will be communicated in advance and will not affect transactions already completed.
7Subscriptions and Auto-RenewalNew
PROCODE offers monthly and annual subscription plans for access to platform features and services.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Auto-renewal terms, including the renewal price and cancellation deadline, will be clearly displayed at the time of purchase. By subscribing, you authorize PROCODE to charge your payment method on file for each renewal period at the then-current price.
- Billing. You will be billed at the start of each billing period (monthly or annual, as selected). The charge will appear on your statement from our payment processor.
- Cancellation. You may cancel your subscription at any time through your account settings or by contacting support@procode.gg. Cancellation takes effect at the end of the current billing period. You will retain access to subscription features until that date.
- Refunds. Subscription fees are non-refundable, including for partial periods. If you cancel an annual subscription, you will not receive a refund for the unused portion of the year unless required by applicable law.
- Price changes. PROCODE will provide at least 30 days' notice before changing subscription pricing. If you do not cancel before the change takes effect, you will be charged the new price at your next renewal.
- Free trials. If a free trial is offered, your subscription will automatically convert to a paid plan at the end of the trial period unless you cancel before the trial period ends.
8Coaching Services
- Coaches on PROCODE are independent contractors. They are not employees of PROCODE. PROCODE does not guarantee specific outcomes from coaching.
- Coaching sessions are subject to availability and scheduling.
- Cancellation policies for scheduled sessions will be communicated at the time of booking.
- PROCODE is not liable for the quality of advice provided by independent contractor coaches beyond ensuring they meet our platform eligibility requirements.
9Tournaments
- Tournament participation is subject to individual tournament rules published at the time of each event.
- PROCODE reserves the right to disqualify participants for cheating, rule violations, or unsportsmanlike conduct.
- Prize distributions, if applicable, will be published before the tournament begins and governed by the rules of the specific tournament.
- PROCODE may cancel or reschedule tournaments at its discretion with reasonable advance notice.
10Intellectual Property
All content on PROCODE, including but not limited to text, graphics, logos, software, AI models, and tournament architecture, is the property of PROCODE or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any PROCODE content without explicit written consent.
You retain ownership of any content you create and submit to the platform (e.g., gameplay VODs, coaching clips). By submitting such content, you grant PROCODE a non-exclusive, royalty-free license to use, display, and process that content solely to operate and improve the Services.
11Disclaimers
PROCODE is provided "as is" and "as available." To the maximum extent permitted by law:
- PROCODE makes no warranty that the Services will be uninterrupted, error-free, or free of harmful components.
- PROCODE does not guarantee specific results from coaching, tournaments, or any other platform feature.
- PROCODE is not responsible for the actions of independent contractor coaches, other users, or linked external platforms.
PROCODE is not liable for any failure or delay in delivering the Services resulting from circumstances beyond its reasonable control, including but not limited to internet or infrastructure outages, game publisher API changes or service terminations, acts of government, natural disasters, or other force majeure events.
12Limitation of Liability
To the maximum extent permitted by applicable law, PROCODE's total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the greater of: (a) the total amount you paid to PROCODE in the 12 months preceding the claim, or (b) one hundred US dollars (USD $100). PROCODE is not liable for any indirect, incidental, special, or consequential damages.
13Indemnification
You agree to indemnify and hold harmless PROCODE, its officers, employees, and partners from and against any claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of the Services.
14Termination
PROCODE may suspend or terminate your account and access to the Services at any time, with or without cause, including for violation of these Terms. You may close your account at any time by contacting support@procode.gg. Upon termination, your protoken balance and access to the Services will be forfeited.
15Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms that cannot be resolved amicably shall be subject to the jurisdiction of the courts of the State of Delaware, except where mandatory consumer protection laws of your jurisdiction provide otherwise.
16General Provisions
- Severability. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
- Entire Agreement. These Terms, together with our Privacy Policy and any other policies expressly referenced herein, constitute the entire agreement between you and PROCODE regarding your use of the Services and supersede all prior or contemporaneous agreements, representations, or understandings.
- Waiver. PROCODE's failure to enforce any right or provision of these Terms on any occasion shall not constitute a waiver of that right or provision on any future occasion.
17Changes to These Terms
PROCODE may update these Terms from time to time. Material changes will be communicated by email or via a platform notice at least 14 days before taking effect. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you are a current paid subscriber and materially object to a change, you may cancel your subscription before the change takes effect and receive a pro-rata refund for the unused portion of your then-current billing period.
